3. Account Registration

To access certain features of our Services, you may need to create an account. When creating an account, you agree to:

• Maintain and promptly update your account information

• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Subscription Plans and Pricing

• Subscriptions are billed in advance on a monthly or annual basis
• Subscriptions automatically renew unless cancelled before the renewal date

• All fees are exclusive of applicable taxes

5. Payment Terms

All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for the subscription fees.

• Payment is due at the time of purchase or renewal
• You are responsible for providing valid payment information
• Failed payments may result in service suspension
• All charges are in US Dollars unless otherwise specified

6. Cancellation and Refunds

Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will not be charged for subsequent billing periods
• Access to premium features will end when the current period expires

Refund Policy

We offer refunds under the following conditions:

• Within 14 days: Full refund available for new subscriptions if requested within 14 days of initial purchase
• Service issues: Pro-rated refunds may be issued for documented service outages or failures
• Billing errors: Full refund for duplicate charges or billing mistakes

7. User Responsibilities

When using our Services, you agree to:

• NON-INFRINGEMENT

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MSP DATABASE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, OR GOODWILL
• SERVICE INTERRUPTION OR COMPUTER DAMAGE
• DAMAGES ARISING FROM YOUR USE OF THE SERVICES

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless MSP Database and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may terminate or suspend your account and access to the Services at our sole discretion, without notice, for conduct that we believe:

• Is fraudulent or illegal

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.
